Proposed Securities Markets Code Aims to Strengthen Regulation of Virtual Digital Assets Through SRO

A committee tasked with reviewing India's securities market regulations has proposed a comprehensive Securities Markets Code aimed at modernizing the country's regulatory framework and providing greater clarity for the rapidly evolving Virtual Digital Assets (VDA) ecosystem. The recommendations are intended to strengthen investor protection, improve market transparency, and create a more structured regulatory environment for emerging financial products.

One of the key recommendations is the introduction of a Self Regulatory Organization (SRO) framework for the Virtual Digital Assets sector. Under this approach, recognized industry bodies would work alongside regulatory authorities to promote compliance, establish operational standards, encourage ethical business practices, and improve governance across the digital asset industry.

The committee believes that a structured SRO framework can help create a more organized ecosystem by encouraging market participants to follow common standards while supporting regulatory oversight. Such organizations are expected to assist in monitoring industry practices, handling compliance issues, promoting transparency, and educating market participants.

Another important recommendation involves extending the cooling off period for certain market participants from the existing duration to two years. According to the committee, the longer cooling off period is intended to strengthen safeguards against conflicts of interest and improve confidence in the integrity of India's securities markets. The recommendation is also expected to provide additional protection for retail investors, particularly small traders who may be more vulnerable in rapidly changing financial markets.

The proposed Securities Markets Code is designed to consolidate and simplify multiple existing securities regulations into a more comprehensive legal framework. Experts believe that a unified code could improve regulatory consistency, reduce ambiguity, and make compliance easier for financial institutions, intermediaries, and investors.

The recommendations come at a time when Virtual Digital Assets, including cryptocurrencies and tokenized financial products, continue to attract growing interest from investors and technology companies. As participation in digital asset markets expands, regulators worldwide are exploring new approaches to balance innovation with investor protection and financial stability.

The committee has emphasized that regulatory clarity is essential for encouraging responsible innovation while minimizing risks such as fraud, market manipulation, conflicts of interest, and inadequate disclosure. A transparent regulatory environment can also support long-term growth by providing greater certainty to businesses operating in the digital asset sector.

The proposed reforms cover broader aspects of India's securities markets beyond Virtual Digital Assets. They aim to modernize regulatory processes, improve governance standards, enhance market efficiency, and strengthen investor confidence across the financial ecosystem.

The committee's recommendations are advisory in nature and will be considered by the relevant regulatory authorities and the Government of India before any legislative or regulatory changes are introduced. Any implementation would require formal approval through the applicable legal and policy-making process.

Market participants, financial institutions, legal experts, and digital asset companies are expected to closely follow the government's response to the committee's proposals. If adopted, the recommendations could play an important role in shaping the future regulatory framework for India's securities markets and the Virtual Digital Assets ecosystem.

The proposed Securities Markets Code reflects the ongoing effort to create a balanced regulatory environment that supports innovation while ensuring transparency, accountability, and strong investor protection in India's evolving financial markets.
