Meesho Submits Confidential Draft with SEBI for Rs 4250 Crore IPO

The Meesho IPO will be closely watched by both institutional and retail investors as a barometer for market appetite in the startup space.

Social commerce platform Meesho has taken a major step toward going public by filing its draft red herring prospectus (DRHP) confidentially with the Securities and Exchange Board of India (SEBI). According to sources familiar with the development, the proposed initial public offering (IPO) is expected to raise around Rs 4250 crore. The confidential filing route, recently introduced by SEBI, allows companies to explore listing opportunities while keeping details private until they are ready for public disclosure.

Headquartered in Bengaluru, Meesho operates in the e-commerce sector with a focus on enabling small businesses and individuals to sell products online. The platform offers a wide variety of items, including apparel, home goods, and electronics, with a large user base in tier 2 and tier 3 cities. Over the past few years, the company has grown rapidly by tapping into India’s expanding digital consumer base.

The confidential filing method is commonly used in developed markets like the United States and has now been adopted in India to allow greater flexibility for companies preparing for a public offering. Under this route, Meesho will not be required to immediately disclose the full details of its IPO plans, such as the number of shares on offer or exact pricing. However, these details will be made available in due course as regulatory approvals progress.

Industry experts see Meesho’s move as a positive signal for the Indian startup ecosystem, especially at a time when global and domestic markets are watching startup valuations closely. The IPO, if successful, would mark one of the major public listings by an Indian startup in recent years, following those of companies like Zomato, Nykaa, and Paytm.

Meesho is backed by major investors including SoftBank, Prosus Ventures, and Meta (formerly Facebook), among others. Its ability to build a large customer base without charging seller commissions has differentiated it from other e-commerce giants in India. The company has reportedly achieved operational profitability in recent quarters, which is expected to boost investor confidence.

In terms of IPO structure, it is expected that the offering will include both a fresh issue of shares to raise new capital and an offer for sale (OFS) by existing shareholders. The proceeds from the IPO are likely to be used for business expansion, technology development, and potential acquisitions in related sectors.

SEBI is expected to review the draft over the next few months. Once the confidential review is complete and the company is ready to launch the IPO publicly, a revised DRHP will be released with all financial and operational details, allowing potential investors to evaluate the opportunity fully.

The Meesho IPO will be closely watched by both institutional and retail investors as a barometer for market appetite in the startup space. It could also pave the way for other emerging tech companies in India to explore public listings through the confidential route.

However, these details will be made available in due course as regulatory approvals progress.
