The IPO, valued at approximately Rs 4011 crore, was fully subscribed on Day 1 itself, signaling strong market confidence in one of India’s leading depository institutions.

The initial public offering of National Securities Depository Limited, commonly known as NSDL, opened to a highly positive response from investors. The IPO, valued at approximately Rs 4011 crore, was fully subscribed on Day 1 itself, signaling strong market confidence in one of India’s leading depository institutions.

The IPO consists entirely of an offer for sale by existing shareholders, with no fresh equity issue. Key promoters and stakeholders, including IDBI Bank, National Stock Exchange, Union Bank of India, and others, are offloading part of their holdings. The price band for the IPO has been fixed between Rs 393 and Rs 405 per share, with a minimum bid lot of 36 shares.

NSDL is the country’s first and largest depository, providing services to market participants for holding and transferring securities in electronic format. The depository plays a vital role in India’s financial infrastructure, managing billions of transactions annually and ensuring secure custody for assets.

Market experts attribute the strong subscription numbers to NSDL’s established reputation, long-standing institutional support, and its integral role in India’s capital markets. The grey market premium, or GMP, was reportedly in the range of Rs 45 to Rs 50 on the day of the launch, indicating that investors expect a premium listing on the stock exchanges.

The IPO is open for subscription from July 30 to August 1. Institutional investors, including Qualified Institutional Buyers and Non-Institutional Investors, showed robust interest early on. Retail participation was also strong, driven by confidence in the company’s fundamentals and prospects for steady growth.

According to the red herring prospectus, NSDL posted a net profit of over Rs 230 crore in the financial year ending March 2024. The company also has healthy reserves, a strong balance sheet, and a diversified service portfolio that supports investor services, clearing and settlement, and regulatory compliance.

However, analysts also caution that this is an offer for sale and not a capital-raising effort. As such, the proceeds will go to the selling shareholders rather than being used for business expansion. Investors have been advised to evaluate long-term potential rather than short-term listing gains alone.

NSDL operates in a highly regulated environment overseen by the Securities and Exchange Board of India. It competes primarily with Central Depository Services Limited (CDSL), its only other major competitor in the depository space. Analysts believe that listing will enhance transparency and improve governance at NSDL, which could benefit stakeholders in the long run.

Investor interest in IPOs has picked up in recent months as the broader markets show signs of resilience. With favorable macroeconomic conditions and increasing retail investor participation, the success of the NSDL IPO could set the tone for other major listings planned for the coming quarters.

Final allotment of shares and listing details will be announced shortly after the IPO closes. Market watchers will be keenly observing NSDL’s debut on the exchanges, which is expected to attract long-term institutional investors as well as active retail traders.

Market experts attribute the strong subscription numbers to NSDL’s established reputation, long-standing institutional support, and its integral role in India’s capital markets.
